These Terms of Use ("Terms") govern your use of UtillAI's mobile application ("App"), website, and IoT products, including the AquaSentra smart water valve and other utility management tools (collectively, the "Services"). 1. The Services

• General:
  UtillAI’s Services allow you to monitor and control your utility management devices, track usage data, detect leaks, and receive notifications about anomalies or usage patterns. UtillAI may automatically control connected devices to optimize water usage and prevent damage based on configured settings or detected anomalies. Results may vary depending on individual circumstances.
• UtillAI Account:
  Accessing the Services requires creating an account, which may involve providing information about your property, utilities, or connected devices. Account setup is subject to UtillAI’s Privacy Policy.
• Opting Out of Features:
  You can configure connected devices to override automated responses or opt out of specific system notifications via the App.
• Updates and Changes:
  UtillAI may update, modify, or discontinue parts of the Services or their features at any time without notice.
• Termination of Use:
  You may terminate your use of the Services at any time. Upon termination, certain data may be retained to meet legal or operational requirements.
• Eligibility:
  You must be at least 18 years old to use the Services. If you are an organization, the individual accepting these Terms must have authority to bind the organization.

2. Licenses and Permissions

• Use of the Services:
  Subject to compliance with these Terms, UtillAI grants you a non-exclusive, non-transferable license to use the App and Services for managing connected devices.
• License Restrictions:
  You may not reproduce, modify, distribute, or reverse-engineer any part of the Services. All rights not expressly granted are reserved by UtillAI and its licensors.
• Connected Devices:
  You are responsible for ensuring proper setup and use of your devices with the Services. Integration with third-party devices may require adherence to their terms, and UtillAI is not responsible for issues arising from third-party products.
• User-Provided Information:
  By providing data or input through the Services, you grant UtillAI a license to use this information for the functionality and improvement of the Services. You represent that you have authority to share this data.
• Ownership:
  UtillAI retains ownership of all intellectual property and content associated with the Services. Unauthorized use of UtillAI’s content or branding is prohibited.

3. Privacy and Security

By using the Services, you consent to the collection and use of your data as outlined in the UtillAI Privacy Policy. While UtillAI employs robust security measures, wireless and internet transmissions may not be completely secure. UtillAI is not liable for unauthorized access due to external vulnerabilities.

4. Feedback

If you provide feedback or suggestions about the Services, UtillAI may use them without restriction or compensation.

5. Termination and Suspension

UtillAI may terminate or suspend your access to the Services at its discretion, including for violations of these Terms. Upon termination, your rights to use the Services will cease, but certain provisions will survive.

6. Disclaimer of Warranties

The Services are provided "as is" without warranties of any kind. UtillAI disclaims all express or implied warranties, including fitness for a particular purpose. We do not guarantee uninterrupted operation or specific utility savings.

7. Limitation of Liability

UtillAI and its affiliates are not liable for indirect, incidental, or consequential damages arising from your use of the Services. Your sole remedy is to stop using the Services. Some jurisdictions may not allow certain liability limitations, which may not apply to you.

8. Indemnification

You agree to indemnify and hold UtillAI harmless from claims, losses, or damages arising from your use of the Services or violation of these Terms.

9. Arbitration and Dispute Resolution

  Disputes arising under these Terms will be resolved through binding arbitration. You waive the right to a jury trial or class action participation.
• Opt-Out:
  You may opt out of arbitration by notifying UtillAI in writing within 30 days of accepting these Terms.
• Arbitration Rules:
  Disputes will be resolved by a neutral arbitrator under the rules of the American Arbitration Association or a similar body.

10. Governing Law
