These Terms & Conditions (“Terms”) govern the purchase, installation, access to, and use of the Aquasentra smart water management product and related software and services (collectively, the “Services”), provided by UtillAI LLC (“UtillAI”, “we”, “us”, or “our”).

By purchasing, installing, accessing, or using Aquasentra, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Definitions

• “Aquasentra” means the smart water valve, sensors, and associated hardware branded as Aquasentra.
   
• “UtillAI LLC” means the company providing the Aquasentra product and Services.
   
• “Product” means Aquasentra hardware, including valves, adapters, and sensors.
   
• “Software” means firmware, mobile applications, cloud platforms, AI systems, dashboards, and analytics provided by UtillAI.
   
• “Subscription” means paid access to Aquasentra cloud-based services after any included subscription period.
   
• “User”, “you”, or “your” means the individual or legal entity using the Services.
   

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Aquasentra.

If Aquasentra is installed or managed on behalf of a landlord, property manager, insurer, or business entity, you confirm that you have authority to bind that entity to these Terms.

3. Installation & Use

3.1 Aquasentra must be installed in accordance with:

• Official installation instructions
   
• Applicable plumbing, electrical, and building regulations
   

3.2 UtillAI LLC is not responsible for:

• Incorrect or non-compliant installation
   
• Modifications or repairs performed by third parties
   
• Use outside specified operating conditions
   

3.3 Aquasentra is designed to reduce the risk of water damage, not to eliminate it entirely.

4. Leak Detection Performance & Insurance Notice

Aquasentra is designed using advanced sensing, analytics, and AI-based monitoring to detect leaks and micro-leaks with a high degree of accuracy, often identifying abnormal water behaviour within minutes.

By continuously monitoring water flow, pressure, and temperature, Aquasentra significantly reduces the risk of major water damage by enabling early detection and automated intervention.

However, Aquasentra is a risk-mitigation system, not an absolute prevention system. Certain leak events may:

• Develop gradually over time
   
• Occur in concealed or complex plumbing configurations
   
• Result in a limited amount of water escape before detection or shut-off occurs
   

Accordingly, while Aquasentra is extremely effective at minimising damage, some minor water damage may still occur before the system detects and responds to an issue.

Aquasentra must not be relied upon as a replacement for building, contents, or landlord insurance, and appropriate insurance cover should always be maintained.

5. Subscription & Billing

5.1 Certain features require an active Subscription.

5.2 Subscription fees are billed annually, unless otherwise stated at the time of purchase.

5.3 Subscription fees are non-refundable, except where required by applicable law.

5.4 UtillAI LLC reserves the right to suspend or restrict access to Subscription services in the event of non-payment.

6. Software, AI & Updates

6.1 UtillAI may deploy firmware, software, security, and AI model updates automatically.

6.2 Updates may:

• Improve detection accuracy
   
• Modify or remove features
   
• Adjust system behaviour or alerts
   

6.3 Continued use of the Services after updates constitutes acceptance of those updates.

7. User Responsibilities

You agree to:

• Maintain accurate account and contact details
   
• Secure login credentials and account access
   
• Ensure adequate power and network connectivity
   
• Respond appropriately to alerts and notifications
   
• Use the Services in compliance with all applicable laws
   

You must not:

• Reverse engineer, disassemble, or tamper with Aquasentra hardware or software
   
• Bypass safety or security mechanisms
   
• Use the Services for unlawful, abusive, or fraudulent purposes
   

8. Data & Privacy

8.1 Aquasentra collects operational and diagnostic data, including water flow, pressure, temperature, usage patterns, and system health.

8.2 Personal data is handled in accordance with the UtillAI Privacy Policy.

8.3 You retain ownership of your data but grant UtillAI LLC a worldwide, royalty-free licence to process such data for:

• Service delivery
   
• System monitoring
   
• AI training and improvement
   
• Analytics and performance optimisation
   

9. Third-Party Services

Aquasentra may integrate with third-party platforms or infrastructure, including cloud services and smart home ecosystems.

UtillAI LLC is not responsible for:

• Third-party service outages or failures
   
• Data handling practices of third parties
   
• Losses caused by systems outside UtillAI’s control
   

10. Limitation of Liability

To the maximum extent permitted by law:

• UtillAI LLC shall not be liable for indirect, incidental, special, or consequential damages, including property damage, loss of use, loss of profits, or insurance-related outcomes.
   
• UtillAI LLC’s total liability shall not exceed the amount paid by you for Aquasentra products and/or Subscriptions in the twelve (12) months preceding the claim.
   

11. Indemnification

You agree to indemnify and hold harmless UtillAI LLC from any claims, losses, liabilities, or expenses arising from:

• Improper installation or misuse of Aquasentra
   
• Breach of these Terms
   
• Violation of applicable laws or third-party rights
   

12. Warranty Disclaimer

Except as expressly stated in writing:

• Aquasentra Products and Services are provided “as is” and “as available”
   
• UtillAI LLC disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement
   

13. Suspension & Termination

UtillAI LLC may suspend or terminate access to the Services if:

• These Terms are breached
   
• The Services are misused
   
• Required by law or regulatory authorities
   

Upon termination, access to Subscription features may cease immediately.

14. Changes to These Terms

UtillAI LLC may update these Terms periodically. Material changes will be communicated via the Aquasentra app, website, or email.

Continued use of Aquasentra constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction – e.g. United Arab Emirates / England & Wales / Delaware, USA], without regard to conflict-of-law rules.
